1. Acceptance of Terms

By accessing or using the Sparkey platform ("Service"), you agree to be bound by these Terms of Use. If you do not agree, you may not use the Service. These terms apply to all users, including organizations and their authorized members.

2. Description of Service

Sparkey provides an AI-powered engineering intelligence platform that analyzes development workflows, team dynamics, and AI adoption patterns. The Service integrates with third-party tools to deliver actionable insights for technical leaders.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You must notify us immediately of any unauthorized use.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to reverse engineer, decompile, or disassemble any part of the Service
• Interfere with or disrupt the integrity or performance of the Service
• Access the Service through automated means without prior authorization
• Use the Service to monitor individual employee performance without appropriate disclosure

5. Data Ownership

You retain all rights to your data. Sparkey processes your data solely to provide the Service. We do not sell, share, or use your data for purposes other than delivering insights to your organization. Aggregated, anonymized data may be used to improve the platform.

6. Intellectual Property

The Service, including its algorithms, models, interface, and documentation, is the intellectual property of Sparkey Ltd. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your subscription term.

7. Subscription and Payment

Paid plans are billed in advance on a monthly or annual basis. Fees are non-refundable except as required by law. We reserve the right to modify pricing with 30 days' written notice.

8. Termination

Either party may terminate the agreement with 30 days' written notice. Upon termination, your access to the Service will cease and your data will be deleted within 90 days, unless a longer retention period is required by law or requested by you.

9. Limitation of Liability

To the maximum extent permitted by law, Sparkey shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

10. Changes to Terms

We may update these terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.

11. Governing Law

These terms are governed by the laws of the State of Israel. Any disputes shall be resolved in the competent courts of Tel Aviv-Jaffa, Israel.
